These Terms of Service govern access to and use of the North Hammer Policy Engine and this website, operated by North Hammer. By accessing the service, you agree to these terms on behalf of yourself and the organization you represent.
The Service
North Hammer Policy Engine is a business-to-business compliance platform. It ingests regulatory material and an organization's internal policy documents, determines which obligations apply, maps those obligations to policy language, grades coverage, and produces remediation and evidence recommendations.
Features, models, and interfaces evolve. We may add, change, or withdraw functionality, and we will not materially reduce the core capability an active subscription depends on without notice to the subscribing organization.
Accounts and Eligibility
The service is invite-only. Accounts are created by an administrator of a subscribing organization or by us during onboarding; there is no self-service registration, and requesting a sign-in link does not create an account.
You are responsible for the accuracy of the information in your account, for the activity that occurs under it, and for notifying us promptly if you believe a sign-in method has been compromised. Sign-in credentials and links are personal and must not be shared.
Acceptable Use
You may not use the service to upload material you lack the right to submit, to attempt to access another organization's data, to probe or circumvent the platform's security or access controls, to reverse engineer the service, to resell or provide access to parties outside your organization, or to build a competing product from its outputs.
Automated access outside the interfaces we provide, and any use that degrades service availability for others, is prohibited.
Your Content
Policies, procedures, evidence, and other material your organization uploads remain your organization's property. You grant us only the limited rights needed to host, process, and analyze that material in order to provide the service to you.
We treat uploaded material as confidential. We do not sell it, and we do not use it to train third-party foundation models. How it is processed is described in the Privacy Policy.
Intellectual Property
The platform, its underlying software, its regulatory taxonomy, its assessment methodology, and the North Hammer name and marks are owned by North Hammer and are protected by intellectual property law. Nothing in these terms transfers ownership of them.
Assessment outputs generated for your organization may be used freely inside your organization for compliance, audit, and governance purposes.
Not Legal or Regulatory Advice
The service supports professional judgment; it does not replace it. Applicability determinations, coverage grades, remediation recommendations, and any other output are informational and are generated with the assistance of automated systems that can be incomplete or incorrect.
Nothing produced by the service is legal, regulatory, audit, or compliance advice, and no attorney-client relationship is created by using it. Your organization remains solely responsible for its regulatory obligations and for reviewing any output before relying on it.
Fees and Subscriptions
Access is provided under a subscription or written order agreed with your organization. That agreement governs pricing, term, entitlements, usage capacity, and renewal; where it conflicts with these terms, the written agreement controls.
Disclaimers and Limitation of Liability
Except as expressly stated in a written agreement with your organization, the service is provided on an as-is and as-available basis, without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
To the maximum extent permitted by law, North Hammer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or regulatory penalties, arising out of or relating to the service. Our total aggregate liability is limited to the amounts paid for the service in the twelve months preceding the event giving rise to the claim.
Suspension and Termination
We may suspend or terminate access where these terms are breached, where use threatens the security or integrity of the platform, or where a subscription lapses. Your organization may stop using the service at any time.
On termination, access ends and organizational data is deleted or returned in accordance with the Privacy Policy and any written agreement in place.
Changes to These Terms
We may update these terms as the service and the law evolve. Material changes will be reflected in the date shown on this page, and continued use after that date constitutes acceptance of the updated terms.
Governing Law
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The courts located in that jurisdiction have exclusive jurisdiction over disputes arising from them.
